To aid with decision making in our companies, we use a tool that we call the Management Approach framework. Our Management Approach is a hierarchy of five elements, each of which guides the choices made in the elements below it. The framework was developed to help us analyze the consistency of our thinking and actions throughout the organization, including with respect to our corporate governance practices. The point of the Management Approach framework is that we need to align all our thinking and doing at each level with the elements above them. This means all our planning and actions must be consistent with our Guiding Philosophy.
We believe that our corporate governance practices, viewed within the context of the Management Approach, help maintain the ability of our Board of Directors to oversee the conduct of our business and affairs in a manner that is consistent with our Guiding Philosophy and that is conducive to creating superior value for our stakeholders.
